Terms of the Agreement
Definitions:
- The term “Agreement” refers to the partnership and cooperation contract concluded between Ocean and the client, which includes the general terms and conditions that may be amended from time to time according to the sales channels approved by the client.
- The term “Outstanding Financial Claim” refers to the amount provided as an advance payment or a specific credit amount under this Agreement, which is binding on the other party.
- The term “Confidential Information” refers to all information that is considered confidential or private by nature, including, but not limited to, the terms and conditions of the Agreement, client documents, business plans, client lists, technical specifications, data, and transactions. This excludes information that is publicly published or legally available without restrictions on disclosure or publication.
- The term “Liabilities” refers to all rejected fees and financial claims, as well as actual and anticipated losses incurred by Ocean due to the client’s misconduct or breach of the terms, including payments related to import operations.
- The term “Client” refers to the legal entity or natural person specified in the offer letter.
- The term “Payment”refers to the payment methods approved by Ocean, which include bank transfers to Saudi accounts, electronic payments via credit cards, Mada, or deferred payment programs in cooperation with payment solution partners.
- The term “Shipping Channel”refers to the client’s preferred method of shipment, whether by sea, air, or express shipping, as specified in the contract appendix.
- The term “Services” refers to all services provided by Ocean to the client, in accordance with the client’s request and the contract appendix between them.
- The term “Ocean”refers to Ocean Saudi Arabia, established in Jeddah, located on Khalid bin Al-Walid Street, Al-Sharafiya District, with the Unified National Number 7030228949.
- The term “Business Operations Guide”refers to the documents and records that include the prices and types of goods, delivery methods, and proof of delivery operations.
Scope of Services:
- Ocean is committed to providing the services based on the information provided by the client, and the client bears responsibility for the accuracy and correctness of the submitted data. Ocean reserves the right to amend the terms and conditions of the partnership agreement, including risk management, with prior written notice to the client.
- Ocean ensures compliance with all laws and licenses required to provide its services and works to obtain all necessary permits and authorizations to guarantee the legal and smooth execution of operations, while adhering to consumer protection policies and maintaining ongoing cooperation to ensure quality performance.
- Ocean undertakes to provide high-quality services, while retaining the right to make improvements, modifications, or developments to its services according to its needs and priorities, ensuring that the client is notified in advance if such changes cause any interruption or disruption to their services.
- Ocean reserves the right to perform scheduled or unscheduled maintenance, with prior notice to the client of any maintenance activities that may affect the service.
- Coordination between Ocean and the client is required for product import operations to ensure a smooth process from China to the client’s delivery address.
- The client and Ocean are committed to sharing the necessary information that helps deliver the service efficiently and enables effective verification of the client’s identity.
- The client shall maintain complete and accurate records of successful import operations, including invoices and related documents, which Ocean may review upon reasonable request.
Customs Clearance and Land Transportation Services:
- Ocean provides a comprehensive range of services, including customs clearance for goods and land transportation from ports to clients’ addresses, aiming to facilitate import and export operations in a thorough and efficient manner.
- Ocean manages maritime shipping operations from global ports to Saudi ports, ensuring customs clearance, providing land transportation services from the ports to clients’ addresses, and handling marine agency operations to guarantee smooth and secure receipt and delivery of goods.
- Ocean handles the clearance and customs processing of imported goods at Jeddah Islamic Port, Riyadh Dry Port, and King Abdulaziz Port in Dammam. We also have the capability to complete procedures at other ports within the Kingdom of Saudi Arabia.
- Ocean assists importers in obtaining the necessary certificates and licenses to clear their goods, including, but not limited to, Saudi Food and Drug Authority (SFDA) certificates and SABER certifications.
- Ocean is committed to providing reliable and fast shipping services, adhering to all legal procedures, and coordinating with shipping agencies, transport companies, and customs brokers to ensure operations are completed efficiently and according to the specified timelines.
- Ocean prioritizes continuous communication with the client, providing regular updates on the status of shipments, customs clearance, and land transportation to ensure client satisfaction and the smooth execution of import operations.
